Behind every yacht project are components that rarely take centre stage, yet have a direct impact on the way the yacht is designed, used and experienced. It is precisely within this sector that Aksìa is pursuing a consolidation project focused on high-end yacht components. Following the acquisition of Seasmart in November 2025, the private equity fund management company, through Aksìa Capital VI, has acquired 100% of Amare Group, the yacht components division of Amare Srl.
The transaction marks a further step in the development of MHI Group, the industrial project launched by Aksìa with the aim of creating a leading European group in premium components for yachts and superyachts. The strategy is to bring together specialised Italian companies while preserving their individual identities and expertise, and at the same time creating synergies across engineering, production, business development and international growth.
Aksìa and the MHI Group project
To understand the transaction, it is useful to start with Aksìa, a private equity fund management company that invests primarily in medium-sized Italian businesses, supporting their growth and international development. Its team has completed more than 60 transactions in Italy and abroad, with over €600 million invested through five funds.
The acquisition of Seasmart marked the beginning of the industrial project now brought together under MHI Group. Specialising in premium deck accessories, the company became the first element of a strategy designed to bring together businesses with different areas of expertise across the yachting supply chain. With Amare, the group is now expanding into new product categories while maintaining an approach based on the specialist expertise of each company.
Who is Amare Group?
Founded in 2012 and operating between Modena and Isernia, Amare Group designs and manufactures high-end yacht components. Its range includes portholes and glazing systems, gangways, kinematic and hydraulic systems, and wireless automation solutions. It is precisely the nature of these products that makes Amare’s entry into the MHI project particularly relevant. On a contemporary yacht, a movement system or a glazed surface cannot be considered independently from the architecture. They have to fit within the yacht’s volumes, respect the design language and, at the same time, ensure reliability and ease of use.
Amare works at this intersection between engineering, production, assembly, customisation and design, supplying some of the leading Italian and international shipyards. Its production facility in Isernia also has available capacity to support the company’s further growth. Michele Benvenuto Preziuso will remain at the helm, reinvesting in the project and continuing in his role as Chief Executive Officer.
Two companies, complementary expertise
The rationale behind the transaction becomes particularly clear when the two companies are considered together. Seasmart brings its expertise in premium deck accessories to the group, while Amare adds glazing systems, gangways, kinematic and hydraulic systems, and wireless automation.
MHI Group can therefore broaden its offering and position itself as a supplier across multiple product categories for shipyards. The integration will also make it possible to share expertise in engineering, production, marketing and after-sales, while developing new business opportunities across the companies’ respective client bases. Further objectives include strengthening international activities and services dedicated to refit and after-sales support.
This does not, however, mean standardising the two companies. Seasmart and Amare will continue to operate under their own brands and retain their respective areas of expertise, while sharing certain resources to support innovation, business development and international growth. This approach was also emphasised by Michele Benvenuto Preziuso, who explained that the intention is to preserve “the strong identity of each brand within the Group” while bringing together expertise and experience.
A project designed to grow
The acquisition of Amare is the first transaction following the investment in Seasmart, but Aksìa’s strategy already envisages further steps. The fund intends to support MHI Group through investments in the companies within the group and further acquisitions in complementary product categories.
“With Amare – explains Filippo Anichini, Partner at Aksìa – we are taking the first concrete step in the aggregation process launched with Seasmart.” The objective is to build a group in which different products, expertise and commercial relationships can contribute to its growth while maintaining the premium positioning of the individual companies.
For MHI Group, Seasmart and Amare represent the first two elements of this process. Future acquisitions will determine how far the project expands and which additional areas of expertise will join an offering that aims to cover an increasingly broad range of premium components for yachts and superyachts.
